Contract Manager

What You'll Do

Flatiron's Legal team practices at the intersection of healthcare, research and technology. We provide legal and strategic support across the entire company, driving our business forward while maintaining high standards for professionalism and compliance. Reporting to the Director of Legal Operations, this role is responsible for general contract administration, including supporting our Legal and business teams to execute commercial and other contractual transactions. As the Contracts Manager, you'llwork across functional lines (sales, legal, accounting, deal desk, etc.) to enable high-velocity contracting without sacrificing quality. Key job responsibilities:

  • Manage the contract lifecycle, executing commercial agreements at scale:
    • Draft commercial agreements and other contracts (e.g. non-disclosure agreements, third party access agreements, etc.) on an as needed basis, including amendments to our master agreements and SOWs
    • Negotiate agreements using pre-approved contracting playbooks, escalating when appropriate
    • Developing new contracting playbooks, where needed
    • Drive accountability with cross-functional stakeholders involved in contacting to execute agreements in a timely fashion
    • Route agreements for signature via DocuSign
    • Store and organize contracts within Flatiron's digital contracting platform, Ironclad
  • Collaborate with Legal to develop and maintain contract templates and processes, including Flatiron's digital contracting platform, Ironclad
  • Maintain Flatiron's contract repository in Ironclad, including metadata for all agreements. Run reporting and analyses as needed for Legal and business stakeholders (e.g. total volume of agreements with "x" term included)
  • Train business teams on contracting processes
  • Develop and track contracting key performance metrics. Leverage metrics to drive continuous contracting efficiency, improvement and scale

Who You Are

You're a kind, passionate and collaborative problem-solver who values the opportunity to think beyond the way things are. In addition you are a process- and detail-oriented individual with 2-3+ years experience reviewing, drafting, and negotiating contractual agreements including, MSAs, SOWs, licensing agreements, and non-disclosure agreements (NDAs).

  • You have familiarity with common commercial terms
  • You have experience with Legal's technology solutions, e.g., G-suite programs (Gmail, Google docs, etc.), redlining software, Ironclad/CLM software and DocuSign e-signature
  • You have a bias for action, with demonstrated ability to make things happen, keep projects on track, drive change, and maintain accountability and relationships with stakeholders
  • You can adapt to changing priorities and business needs, and must be proactive in identifying areas of need and generating/implementing action plans
  • You have demonstrated ability to learn quickly in a fast-paced environment
  • You are a strong and clear communicator (written and oral) with the ability to explain company positions and policies courteously, succinctly, and persuasively to both counterparties and internal stakeholders.
  • You have sound judgment and discretion, with the ability to properly handle confidential and sensitive information

Extra Credit

  • You have direct contracting experience within Health Tech and/or Life Sciences
  • You have experience (i) as a paralegal within a law firm or in-house primarily supporting a legal department, (ii) in management consulting, or (iii) in tech
  • You have a Certified Professional Contract Manager™ certification or equivalent
